Firmengründung VAE: Freihandelszone Jebel Ali

Unsere  Kanzlei gründet für Mandanten Gesellschaften in der Jebel Ali Freihandelszone (VAE). Neben der Freihandelszone RAK und Sharjah ist Jebel Ali die bekannteste Freihandelszone in den VAE.

In den VAE sind für eine Firmengründung immer folgende Elemente zu buchen:

• -Firmengründung (Stammkapital Jebel Ali Freezone: FZE Dhs 1.000.000.00 und für eine FZCO Dhs 500.000,00)
  

• -Jeweilige Lizenz (Erlaubnis,die entsprechende Tätigkeit ausüben zu dürfen)

• -Visa für Geschäftsführung, ergänzend ggf. für Gesellschafter und Mitarbeiter/innen

• -Büro (in den VAE ist ein reines Registered Office/Briefkasten nicht zulässig, Ausnahme bei einer International Company, also einer Offshore-Gesellschaft)

Für die Niederlassung einer ausländischen Gesellschaft ist kein Stammkapital erforderlich.

Ein Treuhand-Geschäftsführer kann in den VAE regelmäßig NICHT gestellt werden. In absoluten Ausnahmefällen (hohes Investment) kann eine solche Aufgabe ein Mitglied der Scheichfamilie oder ein örtlicher Anwalt realisieren. Dabei sind die Gebühren entsprechend hoch und richten sich nach Geschäftstätigkeit und Umsatz. Davon abweichend, kann bei einer Offshore-Gesellschaft (darf nur Geschäfte außerhalb der VAE tätigen) ein Treuhand-Geschäftsführer gestellt werden.

Die Gebühren richten sich nach den Dienstleistungen. Rechnen Sie für Gründung der Gesellschaft,jeweilige Lizenz und Visa für den Geschäftsführer mit ca. 15.000 Euro. Stammkapital Jebel Ali Freezone: FZE Dhs 1.000.000.00 und für eine FZCO Dhs 500.000,00.

Gebühren

• Unternehmensgründung in der Jebel Ali Freezone, inklusive Erstellung, Bearbeitung und Einreichung aller notwendigen Unterlagen
• Beantragung der Dienstleistungs- oder Handelslizenz
• Verhandlung mit den Behörden hinsichtlich der Anmietung von Lager- und/oder Büroräumen 
• Eröffnung eines Firmenbankkontos (bei HSBC, National Bank of Dubai, Commercial Bank of Dubai oder ein anderen – vom Mandanten gewünschten – in den VAE ansässigen Geldinstituts)
• Kommunikation mit allen beteiligten Behörden in den Vereinigten Arabischen Emiraten
• Begleitenden Beratung hinsichtlich steuerlicher und rechtlicher  Rahmenbedingungen im Hinblick auf die Unternehmensgründung

Das Honorar für die o. g. Leistungen beträgt grundsätzlich 10.900,00 €. Nicht enthalten sind darin Kosten/Gebühren, die von der Verwaltung der Freezone (z.B. für die Firmenregistrierung oder die Beantragung einer PO-Box) sowie von sonstigen Dritten (z.B. Notar- und Konsulatsgebühren für die Beglaubigung von Unterlagen) in Rechnung gestellt werden.

Free Zone Business

The three types of jafza free zone commercial facilities provided are:

Office Space – to provide clients with the freedom to express, Jafza offers unfurnished offices of any size, equipped with air-conditioning, light fixtures, power points, internet, and telephone access. Office space provided by Jafza is specially designed with the options for future expansion.

Light Industrial Units (LIU) – These facilities exist for two purposes: as storage warehouses for distribution and storage, and as factories for light-production and assembly, sizes of LIU’s range from 313 square meters to 619 square meters. Power supply is readily available in Jafza’s LIU’s, ranging from 10 to 50 KVA for warehouses and 100 to 125 KVA for factories.
