Banklizenz- Bank gründen: Die Schwedische Creditunion
Eine Schwedische Credit Union
kann legal Dienstleistungen in der EU anbieten, welche normalerweise nur
von voll lizenzierten Banken angeboten werden können, wie z.B. Einlagen
annehmen, Darlehen geben, etc., so lange wie sie diese Dienste
ausschließlich Mitgliedern der Credit Union gewährt. Ein möglicher Kunde
kann automatisch Mitglied werden, wenn er ein Konto eröffnen will, ein
Darlehen beantragt oder jeden anderen Service der Credit Union in Anspruch
nimmt. Wesentlich ist der „ordentliche Geschäftssitz in Schweden“ , also
keine Scheinfirma im Sinne. Daher raten wir minimal zum „virtuellen Office
beim RegusCenter (www.regus.com
), also Firmenschild, eigene Telefonnummer, persönliche Ansprache mit
Firmennamen, Fax; Büro-und /oder Konferenzräume bei Bedarf zeitweise
mietbar. Articles of Association for XXX Credit Union1. Name The name of the entity is XXX Credit Union. 2. Purpose The association will benefit its members financial interests by satisfying financing needs among its members, The association will make loans and take deposits from members and offer related services in accordance with the Swedish banking act (2004:297). The association shall comply with any regulations that the financial supervisory authority impose or will impose on the mentioned activities.
3. Base of board of directors The board of directors have its base in XXX.
4. Membership A member can be accepted if he/she can be expected to comply with these articles of association and further fits the member profile:
1. Selfemployed in need of international savings/loan products and/or; 2. Have the intention to save or borrow funds outside the country of residence; 3. Be able to submit identification such as passport of nationa ID card; 4. Be resident in a country approved by the assocation for memberships The assocation should have a maximum of 1000 physical persons as members at all times. Approval of membership is made by the board of directors or anyone appointed by the board. 5. Members obligations A member should have the intention to engage the services of the association, meaning intend to deposit and/or borrow funds from the association. If not decided otherwise at the annual assembly, it should be the task of the board of directors to instruct further how this obligation should be met. A member is further obligated to comply with the associations articles of association and decisions, and any rules and regulations described in the associations manual for members. 6. Capital Member should contribute at least SEK X and max SEK X. The amount should be paid cash. 7. Exclusion A member that break the regulations set in these articles, or a member that is clearly damaging the association or working against the associations interests and/or purpose, can be excluded from the association by the board of directors. The excluded member can bring up the question of exclusion at the annual assembly, by reporting this to the board of directors within 1 month from the the notice of exclusion being sent to the member. 8. Resignation Except for cases described in the law for Economic Associations, a resignation by a member should take effect at the end of the current fiscal year, counting one month after the notice of resignation have been supplied by the member, or the member having been excluded, or any other circumstance leading to the member resigning from the association. 9. Board of directors The board should consist of minimum 3 and maximum 5 directors, with maximum 5 deputy directors. Directors and deputy directors are elected at the annual assembly for the time to the next assembly the next fiscal year. 10. Signatory Power The board of directors or anyone appointed by the board have signatory powers.
11. Accountants At the annual assembly 1 or 2 accountants should be elected for the time until the next assembly, the next fiscal year. 12. Fiscal Year The Associations fiscal year is 0101 to 12-31 13. Annual Report The board of directors shall within one month of the annual assembly, submit the annual report to the accountants. 14. Annual Meeting Annual assembly should be held before the end of the month June. At the annual assembly the following issues should be addressed: 1. Election of a chairman for the assembly and the chairmans choice of a record keeper for the assembly. 2. Adjustment of electoral register 3. Choice of member to check and approve the minutes 4. Establish that the assembly has been called according to the articles 5. The Board of directors´s annual report and the accountants audit 6. Establishment of balance sheet and profit/loss statements 7. Establishment of limited liability for the board of directors 8. Establishment of compensation for the board of directors and accountants. 9. Budget 10. Election of directors and possible deputy directors 11. Election of accountants and possible deputy accountants 12. Any other issues that can lawfully be addressed at the annual assembly
15. Summons and other messages Summons for the annual assembly should be sent in writing by mail. Summons should be sent earliest 4 weeks before the annual assembly, and at the latest 2 weeks before any regualr assembly, and at the latest one week before an extra assembly. Other messages and notices should also be sent by mail. The board of directors should inform the accountants of such notices being sent out, without delay. 16. Profitsharing The free own capital according to the balance sheet, after set aside in the reservefund, should according to the assembly be recorded in the new accounts and/or be put in reserve. 17. Disbandment If the association is to be disbanded the assets should be distributed according to members capital share.
